Leave the old liner and poke several holes in it so it will not hold water. Lay the new liner over that and start your new pond. You want the holes in the old liner so no water can accumulate between it and the new liner. By leaving the old liner you are utilizing the established base and there should be no need to add an underlayment or other protective measures.
